The Y2K gang is apparently a gang of armored criminals or villains who were afraid of Y2K, i.e., the switchover from the 1900s to the year 2000. They were only briefly seen. They battled and were quickly defeated by the third super-heroine known as Spider-Woman (Mattie Franklin). Their fear or motivation may seem peculiar, but one should remember that this story was published in 1999. At the time, there were many fears and rumors of what would happen when the calender switched over to the new millennium. Many of these fears centered on the fact that many early computer programs had been created without the ability to handle dates beyond 1999.
